In a series of teleconferences, the Board of Directors of USA Canoe/Kayak has scheduled its initial meeting for Friday, May 8 in Charlotte. The meeting will be held at the conference center of the US National Whitewater Center. The meeting will start at 11:30AM.
This will be the first formal meeting of the newly elected Board following the adoption of new Bylaws that were proposed by the Governance Review Task Force in January. The Board is composed of four independent directors appointed by the Nominating and Governance Committee and five directors elected by the membership. Two of these five directors are athletes.
The new Board has elected David Backer, an attorney from Portland, Maine, to serve a two-year term as Board Chair. Mr. Backer has a long history of service to amateur sports and to the Olympic movement. He served five years as an elected member of the board of directors of USA Triathlon, serving three of those years as Board President. He served on the Athlete Support Committee of the USOC from 1997-2000.
The meeting of the Board on May 8 will be open to Members. It is the Board’s current intent that future meetings will also be open to Members, subject to the Board’s option, when necessary or appropriate, to limit attendance to the Executive Director and other office staff, or to meet in Executive Session. The May 8 meeting will open with a presentation by Anne Cohn Donnelly, a Professor in Social Enterprise at the Kellogg School of Management, Northwestern University. She will speak on the legal, ethical and practical issues facing directors of non-profit corporations.
The Board may vote to enter executive session to consider personnel, salary or other sensitive issues as permitted by the Bylaws at approximately 4:30 on the 8th.
The Board will then re-convene in open session on Saturday morning at 9:00AM at USA Canoe/Kayak's National office, located in the Charlotte Chamber of Commerce building, in downtown Charlotte at:
